Before registering and using the services, kindly read carefully the terms of service below:
The terms of service covers your use of the services offered by COP's (http://www.cop.com.sg) for creating and using social networks on the COP platform. Therefore, before signing up as COP user, please read in detail all the contents contained in the terms of service. When you click on "I agree to the terms and conditions" you are deemed to have read through, understood and agreeing to the terms of service and its attached clauses.

1. Special Notice

1.1 "COP" has agreed to the provisions of this agreement and other operational regulations put forth from time-to-time to provide Internet-related services (hereinafter referred to as "network services"). In order to have access to these services, the users of the service (hereinafter referred to as "users") must first agree to all the terms of the agreement and follow all instructions during the registration procudure.

1.2. After registration is successfully, COP will grant every user a user ID with a corresponding password. Thereafter, the user will be solely responsible for the user ID and password, and will be held liable by the law for all activities and events associated with it.

2. Definition of services

2.1. The COP online service will provide a free social network subjected to the nature of its contents. COP reserves the right to refuse service to any reason or no reason whatsoever.

2.2. COP provides part of its services for free. If you choose to sign up for a fee-based premium service, you agree to pay the applicable fees and abide by any additional requirements or rules associated with that premium service.

2.3. The user understands that COP only provide online-related services. Other than that, the cost of any necessary devices (such as personal computers, mobile phones and means of accessing the Internet) and its related charge (such as Internet access fees and mobile phone charges) shall be bore by the user himself.

3. Modifications, Suspension and Termination of Services

3.1. COP reserves the right to modify, suspend and terminate services of all or any part of the COP platform at any time without prior notice. You agree that all terminations shall be made at the discretion of COP and COP will not be held liable to the user or to any third party for any such modification, suspension and termination of services.

3.2. You agree that COP will need to carry out regular and irregular maintenance, upgrading and repair services to the platform, networks and other related services. Should this results in an disruption on fee-based services, COP will not be held responsible within a reasonable disruption period. However, COP will try to provide advanced notice as far as possible.

3.3 Should any of the following circumstances occur, COP reserves to right to suspend or completely deny the user of COP's services (including premium services) without being held liable by the user or any other third parties:

3.3.1 The user profile information is incorrect;

3.3.2 The user profile information is incomplete;

3.3.3 The user using the fee-based services are not paying the fees in accordance to the payment regulations set by COP.

3.4 The user understands that , shoud there be inactivity to an account for more than 120 consecutive days, COP reserves the right to terminate the account as well as all other related COP services

3.5. Should the user violate any the clauses of the terms or service and its provision, COP reserves the right to terminate the account as well all other related COP services.

3.6 The user agrees that should COP's services be used to disseminate spam mail, receive, send, store or download information that contains falsehoods, sexual harassment, defamation, insult, intimidate, vulgarity, infringing on third-party patents, copyrights, trademarks and any other legal rights, COP reserves the right to terminate the account as well as all other related COP services.

3.7 The user agrees that should the system determines an account to be related to malicious activities, COP reserves the right to terminate the account as well as all other related COP services.

4. Terms of Use

4.1. Application for the COP's network services requires provision of accurate personal information. Should there be any changes, these information should be updated immediately.

4.2. Under no circumstance should the user allow the user ID and password be transferred or loan to another person. Should any user discover that his or her account has been used illegally, the user should notify COP immediately. COP will not be held liable for illegal usage of accounts due to hacker activity nor security negligence.

4.3. Users must agree to accept COP's mode of communications, either via email or any other method to send users promotions and other marketing-related information.

4.4 To this end, by uploading contents to a Network, you grant to COP and all other users a world-wide, perpetual, nonexclusive license to reproduce, create derivative works of, distribute, publicly perform, and publicly display such content through any works, media or technology. COP also have the right to use and analyze the content in furtherance of COP's business purposes; and disclose metrics regarding contents on an aggregated basis for marketing and business development purposes.

4.5. While in the process of using COP's networks services, users should at all time abide by the following principles:

4.5.1 Comply to all relevant laws and regulations of the Chinese government;

4.5.2 Comply with all relevant network services and protocol's regulations and procedures;

4.5.3 Shall not use the networks and other related services for illegal purposes;
-
4.5.4 Shall not use COP's networks in anyway that will possibly have an adverse effect on the normal operations of the Internet or mobile networks;;
-
4.5.5. Shall not use COP's networks as a means of uploading, displaying or transmitting any information containing falsehoods, sexual harassment, defamation, insult, terrorism, vulgarities, obscenities and other any other information that is illegal;

4.5.6 Shall not violate any other third-party patents, copyrights, trademarks, reputation or any other legitimate rights and interests;

4.5.7 Shall not use COP's netwotks to carry out any activities that will have an adverse effect on COP's operations;

4.5.8 Should it be discovered that a user account has been illegally used or there has been a breach of security, COP should be notified immediately.

4.6 Should a user violate any of these provisions mentioned above during the period of usage, COP or any other relevant authorithies reserves the right to request for corrective actions or any other direct methods necessary (including but not limited to, modification of user-generated contents, suspension or termination of network services) to reduce the consequence of the misconduct.

COP may make us of certain services as modes of communication (including but not limited to network announcements, emails, SMS alerts, etc)to make any statements, notifications and alerts as stated in the agreement.

5. Intellectual Property Rights

5.1. COP's network services, including any text, images, graphics, audio and/or video information is subjected to copyright, trademarks and / or other legal protection or property ownership.

5.2 The network creator shall have sole responsibility for the accuracy, quality, integrity, legality, reliability, appropriateness, and intellectual property ownership or right to use of all contents, and COP shall not be responsible or liable for the deletion, correction, destruction, damage, loss or failure to store any content. COP reserves the right to, without notice, withhold, remove and/or discard content not in compliance with the terms of use.

5.3. All software used by COP in order to provide its network services (including but not limited to images, photographs, animation, video, sound recording, music, text and additional procedures and accompanying help material contained within the sofware) are copyrighted properties of the software providers. Without permission of the copyright owners, the user may not reverse engineer, decompile nor dessamble the software.

6. Privacy

6.1 Protecting users' privacy is one of COP's top priority. COP guarantees not to hare Personal Information with third parties except in the limited circumstances described below:

6.1.1 in the event of a business transfer, such as a sale, merger, reorganization, dissolution or similar event relating to all or a portion of COP, where Personal Data may be part of the transferrable assets in the business transaction;

6.1.2 if required to do so by law, or, at our sole discretion, where COP deem necessary to do so in order to comply with a legal obligation, protect and defend our rights and property;

6.1.3 in accordance to requests by relevant government departments and authorities;

6.1.4 to protect the safety or any individual or the general public;

6.1.5 if necessary to protect COP against legal liabilities.

6.2. COP may choose to collaborate with third-party service providers to provide relevant services the networks. Under such circumstances, the third-party service provider agrees to bear the same responsibilities with COP to protect the users' privacy. COP reserves the right to to provide third-party service providers the rights to the information provided.

6.3. We may conduct research on our end user's demographics, interests and behavior based on the Personal Data and other information provided to us. This research may be compiled and analyzed on an aggregate basis, and we may share this aggregated data with our affiliates, agents and business partners. This aggregate information does not identify users personally. We may also disclose aggregated user statistics in order to describe our services to current and prospective business partners, and to other third parties for other lawful purposes. We may also subject the information for other commercial purposes

7. Disclaimer

7.1. The user agrees that the use of the COP platform, and all its contents, are at the sole responsibility and risk of the user.

7.2. COP does nor the user shall make any warranty that the COP platform, or / and its contents will be secure, timely, uninnterrupted or error-free or operate in combination with any other hardware, software, system or data.

7.3. COP does not guarantee users the accuracy and completeness of external links. At the same time, COP does not bear any responsibility over the nature of the contents in these external links.

7.4 Under no circumstances will COP be liable in any way for any contents, including, but not limited to, for any defamation, falsehoods, errors, or omissions in any such content, or for any loss or damage of any kind incurred as a result of the use or publication of any such content posted, emailed, or otherwise transmitted via COP's service.

7.5. The user agrees that COP would not bear responsibility for any losses resulting from the errors the following products / services:

7.5.1 The free network creation service on COP;

7.5.2 Any product or services provided to the user at no cost;

7.5.3 Any fee-based product or services.

8. Liquidated damages
-
8.1. Should COP violate any relevant laws, regulations and agreements under this terms of service, resulting in any losses incurred by the user, COP will be liable to bear all damage costs.

8.2 The users agree to to protect and the preserve the privacy of other COP members. Should the user violate any relevant laws, regulations and agreement under this terms of service, resulting in any losses incurred by COP and relevant third parties.

9. Modification of Terms

9.1 COP reserves the right to modify this Agreement or its policies relating to the Service and other Applicable Terms, at any time, effective upon posting of an updated version of this Agreement, policies and/or other Applicable Terms on the Service. You are responsible for regularly reviewing this Agreement and such policies, the current version of which shall be made available as set forth herein through the COP site.

9.2. If any change to this Agreement is not acceptable to You, Your sole remedy is to terminate Your use of the Service and any other rights under this Agreement. Any use of the Service after such publication shall constitute acceptance by You of such revised Agreement.

10. General Jurisdiction

10.1 This Agreement shall be governed by the laws of the Republic of Singapore.

10.2 Should there be any disputes, actions, claims or causes of action arising out of or in connection with this Agreement or COP's service, both the user and COP should try to resolve this via friendly settlement means. Should this be unsuccessful, either party may consider filing for a lawsuit in court in the Republic of Singapore.
